RYSE GENERAL TERMS AND CONDITIONS

Ryse, Inc. (“Ryse”) is a wealth management platform empowering millions of Filipinos to grow their finances through simple, convenient, and accessible investment products. It is a wholly-owned subsidiary of Globe Fintech Innovations, Inc. (“Mynt”).

Ryse is duly registered, licensed, and regulated by the Securities and Exchange Commission (“SEC”).

1. Acceptance of Terms. These terms and conditions (“Terms”) govern your use and access to the website/s and related services provided by Ryse (“Services”). By accessing or using the Services, you, as the user of the Services (“User”), agree to be bound by these Terms, Ryse’s Privacy Notice. You also agree to be bound by the General Terms and Conditions, Privacy Notice, and Acceptable Use Policy of GCash, the mobile application from which the Services may be used and accessed, and the applicable terms and conditions of Ryse’s partners. If you do not accept them, you cannot access and use the Services.

2. ‍Use of the Service
   
   1. The Service is provided by Ryse for individual, personal use only. By using the Services, you agree not to use it for any unlawful or prohibited purpose and to comply with all applicable local, national, and international laws and regulations. Unauthorized commercial use or resale of the Service is strictly prohibited.
   2. You acknowledge that, except for content explicitly provided by Ryse, Ryse does not control, endorse, or assume responsibility for third-party content, products, or services accessed through the Services or the internet. Links to third-party websites or applications are provided for convenience only and are used at your own risk. Ryse is not responsible for the accuracy,  security, or availability of such third-party platforms. Your use of these platforms is subject to their own terms and conditions.
   3. Ryse does not guarantee that files or content accessed through the Services will be free from viruses or other harmful components. You are solely responsible for implementing appropriate safeguards, including data backups and security checks, to protect your systems and data. You assume full responsibility and risk for your use of the Services and the internet.
   4. You also understand that the internet may contain offensive or inappropriate material, including sexually explicit content, over which Ryse has no control and disclaims all liability. Accessing such content is at your own discretion.
   5. Ryse reserves the right to suspend or terminate your access to the Service for any violation of these Terms.

3. ‍Access. Ryse may, at its sole discretion, modify, restrict, suspend, or terminate your access to the Services, in whole or in part, at any time and without prior notice. This may done for reasons including, but not limited to, system maintenance, security concerns, suspected unauthorized use, legal or regulatory compliance, or  violation of these Terms. You acknowledge that Ryse shall not be liable to you or any third party for any such action.

4. ‍Suspension and Termination. Ryse may suspend or terminate your use or access to the Services if: 
   1. The information you provided is false or fraudulent;
   2. You are using the Services for illegal or unauthorized purposes; 
   3. You violate any provision of these Terms or the terms and conditions of GCash or Ryse’s partners;
   4. You are required to do so by law, regulation, governmental, judicial, or quasi-judicial order;
   5. Your use of the Services poses a security risk to the GCash mobile application, Ryse, the other users of the GCash mobile application, or any third party;
   6. You engage in fraudulent, deceptive, or illegal activities; 
   7. Your actions cause harm or potential harm to the Services, the GCash mobile application, the GCash and Ryse brand, its reputation, or other users.
   
   Ryse, through GXI, has the right to suspend your access to the Services without prior notice. In case of suspension of use or access to the Services, you may request reactivation but Ryse reserves the right to approve or deny such requests.

5. ‍Disclaimers and Limitations of Liability‍
   
   1. The Services, including all information, content, products, and materials available on or through it (including third-party links), is provided on an “as-is” and “as-available” basis without warranties of any kind, whether express or implied. To the fullest extent permitted by applicable laws, Ryse disclaims all warranties, including, but not limited to:
      
      1. merchantability, fitness for a particular purpose, title, non-infringement, and accuracy;
      2. uninterrupted, error-free, or secure access;
      3. correction of defects or that the Services is free of viruses or harmful components; and
      4. the reliability or completeness of any information or content provided through the Services or linked websites.
         
   2. You are solely responsible for evaluating the accuracy, usefulness, and appropriateness of any content or service accessed through the Services or the internet generally.
   3. To the maximum extent permitted by law, Ryse shall not be liable for any loss or damages, including but not limited to direct, indirect, incidental, consequential, or punitive damages, arising out of or related to:
      
      1. your use of or inability to use the Services;
      2. any errors, omissions, or inaccuracies in the Service or linked content;
      3. any third-party systems, internet outages, unauthorized access, or Force Majeure events.
   4. If any liability is established due to Ryse’s gross negligence or willful misconduct, your sole and exclusive remedy shall be limited to actual damages as finally awarded by a court of competent jurisdiction.
6. ‍Intellectual Property. Ryse owns all materials on this website and in the relevant spaces within the GCash mobile application, including text, software, scripts, graphics, photos, trademarks, service marks, and logos, and are protected by intellectual property laws. Some trademarks displayed may belong to third parties and are used under license.
   
   All rights related to Ryse’s intellectual property are reserved. No intellectual property owned by Ryse may be used without Ryse’s prior written consent.

7. ‍Indemnification. You agree to indemnify and hold Ryse and its affiliates free and harmless from any claims, damages, or liabilities arising from your access and use of the Services or your violation of these Terms.

8. ‍Data Privacy 
   
   1. Ryse values your privacy and will not collect any personal data unless we are authorized to do so. Personal data includes, but is not limited to, company name, postal address, signatory name and email address, and contact details.
   2. Ryse does not sell, share, or disclose your personal data to third parties, unless authorized to do so. However, we may share aggregated, non-personal information with partners or third parties to improve our Services.
   3. From time to time, Ryse may send you updates about its Services and its new features. You can unsubscribe at any time by contacting our support team.

9. ‍Governing Law and Dispute Resolution. These Terms are governed by the laws of the Republic of the Philippines. Any legal action must be filed in the proper courts of Taguig City, Metro Manila, Philippines, to the exclusion of all other courts.
    
10. ‍Severability. If the court finds any provision of this Terms invalid or unenforceable, such court decision shall not affect the remainder of these Terms.

11. ‍Modification of Terms. Ryse reserves the right to change these Terms at any time. You will be notified of material changes as required by law. Continued use of the Portal after changes are implemented implies your acceptance.

12. ‍Customer Concerns. Your general concerns, complaints, inquiries, or requests may be raised through Hotline No. 2882 or at https://help.gcash.com/hc/en-us for incidents that took place within the GCash App. Ryse will investigate and respond to your concerns within five (5) business days.
